While Adam Smith’s scepticism of European imperialism is well documented, he also argued that liberty and empire can be reconciled in certain forms of government. For Smith, liberty requires a regular and lawful government. In the context of empires, liberty hinges on the sovereign’s capacity to control local magistrates in remote provinces. Through close examination of the history of the Roman Empire, Smith recognised the superiority of monarchies to republics in securing the liberty of distant areas. However, the overextended (...) governance in modern overseas empires aggravated political oppression due to the delegation of sovereign power to provincial governors. For Smith, the flaw in modern commercial empires is not simply the conflation of merchants and sovereignty, but also a geopolitical issue rooted in the extension of distance between the metropole and the colonies. This article further analyses Smith’s scheme to reform the British Empire within the framework of his broader analysis of distant empires. He envisioned that a large-scale imperial union underpinned by political representation could be a solution to the dilemma of imperial governance in the age of globalisation. Therefore, Smith found empire and liberty potentially compatible in his political design. (shrink)

One would be hard pressed to deny the ordinary man's trust in the moral deliverances of his conscience. Joseph Butler put the case for the infallibility of conscience, when he remarked: ‘Had it strength, as it had right; had it power, as it had manifest authority; it would absolutely govern the world’ . I think it obvious, in retrospect, that Butler underestimated its ‘strength’ and ‘power’, while overextending its ‘right’ and ‘authority’. Perhaps it is too rash a claim to maintain (...) that conscience serves as an inadequate guide in our moral deliberations, but, to be sure, it can hardly be defended as a sufficient guide to moral conduct. This article discusses the manipulation and measurement of levels of situational self-focus, which is generally labeled ''self-awareness.'' A new scale was developed to quantify levels of public and private self-awareness. Five studies were conducted to assess the psychometric properties, reliability, and validity of the Situational Self-Awareness Scale (SSAS). The SSAS was found to have a reliable factor structure, to detect differences in public and private self-awareness produced by laboratory manipulations, and to be sensitive to changes in self-awareness within individuals over (...) time and across situations. The SSAS can be used as a manipulation check of laboratory self-awareness manipulations and as a means of assessing naturally occurring fluctuations in public and private self-awareness in order to clarify the relation between self-awareness and other variables (e.g., mood and memory). Clark and Chalmers argue that the mind is extended – that is, its boundary lies beyond the skin. In this essay, I will criticize this conclusion. However, I will also defend some of the more controversial elements of Clark and Chalmers's argument. I reject their conclusion because I think that their argument shows that a seemingly innocuous assumption, about internal states and processes, is flawed. My goal is not to conclusively refute Clark and Chalmers's conclusion. Clark and Chalmers [1998] introduced the concept of the extended mind, in part to move beyond the standard Cartesian idea that cognition is something that happens in a private mental space, "in the head." In this paper I want to pursue a liberal interpretation of this idea, extending the mind to include processes that occur within social and cultural institutions. At the same time I want to address some concerns that have been raised about whether such..

Extended cognition is the view that some cognitive processes extend beyond the brain. One prominent strategy of arguing against extended cognition is to offer necessary conditions on cognition and argue that the proposed extended processes fail to satisfy these conditions. I argue that this strategy is misguided and fails to refute extended cognition. I suggest a better way to evaluate the case for extended cognition that should be acceptable to all parties, captures the intuitiveness of previous objections, and avoids the (...) problems with the strategy of offering necessary conditions on cognition. I conclude that extended cognition theorists have failed to establish the truth of extended cognition. (shrink)

In this paper, we argue that epistemic accounts of transparency of the sort put forward by Alex Byrne (2018) and Jordi Fernández (2013) cannot offer a sufficient explanation of the first-personal knowledge we have of our own mental states. We argue against the plausibility of their strategy by noticing that these accounts either (i) fail to present an epistemic account; (ii) assume the very knowledge they are designed to explain (i.e. knowledge of one’s first-order mental states); or, (iii) endorse a (...) dubious inferentialist story of how we move from being in a given first-order mental state to its knowledgeable self-ascription (§1-2). Finally, we close by highlighting the difficulties involved in presenting these accounts as explanatory for states other than belief (§3) and move to suggest a pluralist approach to the study of self-knowledge (§4). A shift in the cultural conception of the firm as productionsystem to that as investment-system entrenches the institutional logic of agency theory in governance reform. Reform initiatives emphasize the separation between management and the board, forensic reporting requirements, and the primacy of shareholders' entitlement to control and residual gains. Problems associated with this agency logic render reform unable to deliver a broad-based ethical operating environment. Government communication has been playing an important role in mass vaccination to conduct the largest vaccination campaign of the world for COVID-19 and to counter vaccine hesitancy. This study employs the health belief model to examine the association between government communication and the COVID-19 vaccination intention. A survey of Chinese adults was conducted in March 2021, and partial least squares structural equation modeling was employed to estimate the multi-construct relationships. The findings indicate that government communication has both direct positive association (...) with vaccination intention and indirect association with vaccination intention through the mediation of perceived severity, benefits, and barriers. Multi-group comparisons suggest that individuals from private sectors are more easily mobilized to receive COVID-19 vaccination by government communication than those from public sectors. Similarly, the correlation between government communication and the vaccination intention of individuals with a good health status was stronger than that of those with a poor health status. Information security governance has become an elusive goal and a murky concept. This paper problematizes both information security governance and the broader concept of governance. What does it mean to govern information security, or for that matter, anything? Why have information technologies proven difficult to govern? And what assurances can governance provide for the billions of people who rely on information technologies every day? Drawing together several distinct bodies of literature—including multiple strands of governance theory, (...) actor–network theory, and scholarship on sociotechnical regimes—this paper conceptualizes networked action on a spectrum from uncertain governance to governing uncertainty. I advance a twofold argument. First, I argue that networks can better govern uncertainty as they become more able not only to enroll actors in a collective agenda, but also to cut ties with those who seek to undermine that agenda. And second, I argue that the dominant conception of information security governance, which emphasizes governing uncertainty through risk management, in practice devolves to uncertain governance. This is largely because information technologies have evolved toward greater connectedness—and with it, greater vulnerability—creating a regime of insecurity. This evolution is illustrated using the history of the US government’s efforts to govern information security. (shrink)

Realists about laws of nature and their Humean opponents disagree on whether laws ‘govern’. An independent commitment to the ‘governing conception’ of laws pushes many towards the realist camp. Despite its significance, however, no satisfactory account of governance has been offered. The goal of this article is to develop such an account. I base my account on two claims. First, we should distinguish two notions of governance, ‘guidance’ and ‘production’, and secondly, explanatory phenomena other than laws are also (...) candidates for governance. My goal is to develop a unified account which captures both guidance and production as well as the governance of phenomena, such as essence and logical consequence. The account of governance I develop belongs to the family of modal accounts, which was popularized by David Armstrong, but it also employs essentialist resources. If successful, this modal-essentialist account not only reveals the costs that proponents of governance incur, but it also puts that important notion on a solid theoretical foundation. (shrink)

Corporate governance has come to be recognised as a cornerstone of economic reforms seeking to promote stability and growth in developing countries. The Asian crisis of the 1997 was viewed as having roots in poor governance and hence national governments as well as international organisations have sought to promote a strengthening of governance mechanisms. This article investigates governance reforms in India over the last decade. The paper reviews changes in Indian governance codes that indicate a (...) preference of adoption of Anglo-American governance models. A survey of ownership structures of Indian listed companies reveals a mixture of governance mechanisms and a persistence of the "business house model" of governance. The paper concludes that despite external pressures towards an "Anglo-Americanisation" of governance practice, the outcomes thus far reveal the emergence of a diversity of governance mechanisms arising in a path-dependent fashion. Major changes in the governance of higher education and the public sciences have taken place over the past 40 or so years in many OECD countries. These have affected the nature of authority relationships governing research priorities and the evaluation of results. In particular, the increasing exogeneity, formalisation and substantive nature of governance mechanisms, as well as the strength and extent of their enforcement, have altered the relative authority of different groups and organisations over research priorities and evaluations, (...) as well as creating some new ones. These shifts in authority have occurred to different degrees in differently organised public science systems. As a result, the diversity and longevity of many research projects, the intensity of competition for disciplinary reputations and the coordination of research goals and outcomes across universities and national boundaries have changed to different degrees in different countries. This paper argues that attempts to apply Alasdair MacIntyre’s positive moral theory to business ethics are problematic, due to the cognitive closure of MacIntyre’s concept of a practice. I begin by outlining the notion of a practice, before turning to Moore’s attempt to provide a MacIntyrean account of corporate governance. I argue that Moore’s attempt is mismatched with MacIntyre’s account of moral education. Because the notion of practices resists general application I go on to argue that a negative application, (...) which focuses on regulation, is more plausible. Large-scale regulation, usually thought antithetical to MacIntyre’s advocacy of small-scale politics, has the potential to facilitate practice-based work and reveals that MacIntyre’s own work can be used against his pessimism about the modern order. Furthermore, the conception of regulation I defend can show us how management is more amenable to ethical understanding than MacIntyre’s work is often taken to imply. (shrink)

Despite ample research on corporate governance (CG) and corporate social responsibility (CSR), there is a lack of consensus on the nature of the relationship between these two concepts and on how this relationship manifests across institutional contexts. Drawing on the national business systems approach, this article systematically reviews 218 research articles published over a 27-year period to map how CG–CSR research has evolved and progressed theoretically and methodologically across different institutional contexts. To shed light on the full gamut of (...) the CG–CSR relationship, we categorize and explore the nature of this relationship along two strands: (a) CSR as a function of CG and (b) CG as a function of CSR. Through this review, we identify key themes where CG–CSR research has lagged and account for under-explored contexts in this domain. Polycentric Governance and the Good Society is the first extended academic work to explore in depth what it means, not only from an economic and organizational standpoint but also from a broader ethical, sociological, and anthropological perspective, to live in a polycentric political system.

Some argue that managers over-invest in corporate social responsibility (CSR) activities to build their personal reputations as good global citizens. Others claim that CEOs strategically choose CSR activities to reduce the probability of CEO turnover in a future period through indirect support from activists. Still others assert that firms use CSR activities to signal their product quality. We find that firms use governance mechanisms, along with CSR engagement, to reduce conflicts of interest between managers and non-investing stakeholders. Employing a (...) large and extensive sample of firms within Russell 2000, S& 500 and Domini 400 indices during the 1993-2004 period, we find that consistent with the conflict-resolution hypothesis, the CSR choice is positively associated with governance characteristics, including board independence, institutional ownership, and analyst following. In addition, after correcting for endogeneity of CSR engagement, our results show that CSR engagement positively influences operating performance and firm value, supporting the conflict-resolution hypothesis as opposed to the over-investment and strategic-choice arguments. We find only a weak support of the product-signaling hypothesis as a major motive of CSR engagement. (shrink)

This paper discusses corporate governance issues from a compliance viewpoint. It makes a distinction between legal and ethical compliance mechanisms and shows that the former has clearly proven to be inadequate as it lacks the moral firepower to restore confidence and the ability to build trust. The concepts of freedom of indifference and freedom for excellence provide a theoretical basis for explaining why legal compliance mechanisms are insufficient in dealing with fraudulent practices and may not be addressing the real (...) and fundamental issues that inspire ethical behavior. The tendency to overemphasize legal compliance mechanisms may result in an attempt to substitute accountability for responsibility and may also result in an attempt to legislate morality which consequently leads to legal absolutism. The current environment of failures of corporate responsibility are not only failures of legal compliance, but more fundamentally failures to do the right (ethical) thing. (shrink)

Corporate governance reforms are occurring in countries around the globe. In developing countries, such reforms occur in a context that is primarily defined by previous attempts at promoting "development" and recent processes of economic globalization. This context has resulted in the adoption of reforms that move developing countries in the direction of an Anglo-American model of governance. The most basic questions that arise with respect to these governance reforms are what prospects they entail for traditional development goals (...) and whether alternatives should be considered. This paper offers a framework for addressing these basic questions by providing an account of: 1) previous development strategies and efforts; 2) the nature and causes of the reform processes; 3) the development potential of the reforms and concerns associated with them; 4) the (potential) responsibilities of corporate governance, including the (possible) responsibilities to promote development, and; 5) different approaches to promoting governance reforms with an eye to promoting development. Given the increasing importance attached to both corporate social responsibility (CSR) and corporate governance, this study investigates the association between these two complimentary mechanisms used by companies to enhance relations with stakeholders. Consistent with both legitimacy and stakeholder theory and controlling for industry profile, firm size, stockholder power/dispersion, creditor power/leverage, and economic performance, our analysis of the annual reports for a sample of 222 listed companies suggests that firms providing more CSR information: have better corporate governance ratings; are (...) larger; belong to higher profile industries; and are more highly leveraged. Our findings support the limited prior research suggesting a link between corporate governance quality and CSR disclosure in company annual reports and suggest that, rather than mandating specific disclosures, regulators might be better served focussing on corporate governance quality as a way of increasing CSR disclosures. Globalization arguably generated a governance gap that is being filled by transnational rule-making involving private actors among others. The democratic legitimacy of such new forms of governance beyond nation states is sometimes questioned. Apart from nation-centered democracies, such governance cannot build, for example, on representation and voting procedures to convey legitimacy to the generated rules. Instead, alternative elements of democracy such as deliberation and inclusion require discussion to assess new instruments of governance. The recently published standard (...) ISO 26000 is an interesting example of transnational governance. ISO 26000 was developed in a lengthy multiorganizational process for the purpose of giving guidance on the social responsibility of organizations. By assessing the specific case of ISO 26000, this study sheds light on the question of how legitimacy beyond nation-state democracy is ensured or constricted. Centering on the idea of deliberate democracy and democratic legitimacy, the study offers in-depth insights on the normative legitimacy of the development process of ISO 26000. Positioned on the interface of business studies and public policy, this article contributes to the academic literature on transnational governance and on the role of multistakeholder processes in shaping the role of business in society. Contemporary law and government are increasingly characterized by a focus on risk. Fields such as health, psychiatry, criminal justice, vehicle safety, urban design and environmental governance all provide examples of settings in which problems are dealt with as risks. In this volume, the most influential examinations and interpretations of this major trend have been brought together, in order to make clear the range and diversity, the spread and penetration of risk in contemporary societies.

Recent scandals allegedly linked to CEO compensation have brought executive compensation and perquisites to the forefront of debate about constraining executive compensation and reforming the associated corporate governance structure. We briefly describe the structure of executive compensation, and the agency theory framework that has commonly been used to conceptualize executives acting on behalf of shareholders. We detail some criticisms of executive compensation and associated ethical issues, and then discuss what previous research suggests are likely intended and unintended consequences of (...) some widely proposed executive compensation reforms. We explicitly discuss the following recommendations for reform: require greater independence of compensation committees, require executives to hold equity in the corporation, require greater disclosure of executive compensation, increase institutional investor involvement in corporate governance (including executive compensation), and require firms to expense stock options on their income statements. We provide a brief summary discussion of ethical issues related to executive compensation, and describe possible future research. (shrink)

Background Consent policies for post-mortem organ procurement (OP) vary throughout Europe, and yet no studies have empirically evaluated the ethical implications of contrasting consent models. To fill this gap, we introduce a novel indicator of governance quality based on the ideal of informed support, and examine national differences on this measure through a quantitative survey of OP policy informedness and preferences in seven European countries. -/- Methods Between 2017–2019, we conducted a convenience sample survey of students (n = 2006) (...) in Austria (AT), Belgium (BE), Denmark (DK), Germany (DE), Greece (GR), Slovenia (SI) and Spain (ES), asking participants about their donation preferences, as well as their beliefs and views about the policy in place. From these measures, we computed indices of informedness, policy support, and fulfilment of unexpressed preferences, which we compared across countries and consent systems. -/- Results Our study introduces a tool for analyzing policy governance in the context of OP. Wide variation in policy awareness was observed: Most respondents in DK, DE, AT and BE correctly identified the policy in place, while those in SI, GR and ES did not. Respondents in opt-out countries (AT, BE, ES and GR) tended to support the policy in place (with one exception, i.e., SI), whereas those in opt-in countries (DE and DK) overwhelmingly opposed it. These results reveal stark differences in governance quality across countries and consent policies: We found a preponderance of informed opposition in opt-in countries and a general tendency towards support–either informed or uninformed–in opt-out countries. We also found informed divergence in opt-in countries and a tendency for convergence–either informed or uninformed–among opt-out countries. -/- Conclusion Our study offers a novel tool for analyzing governance quality and illustrates, in the context of OP, how the strengths and weaknesses of different policy implementations can be estimated and compared using quantitative survey data. This article explores how corporate governance processes and structures are being used in large Australian companies to develop, lead and implement corporate responsibility strategies. It presents an empirical analysis of the governance of sustainability in fifty large listed companies based on each company’s disclosures in annual and sustainability reports. We find that significant progress is being made by large listed Australian companies towards integrating sustainability into core business operations. There is evidence of leadership structures being put in place (...) to ensure that board and senior management are involved in sustainability strategy development and are then incentivised to monitor and ensure implementation of that strategy through financial rewards. There is evidence of a willingness to engage and communicate clearly the results of these strategies to interested stakeholders. Overall, there appears to be a developing acceptance amongst large corporations that efforts towards improved corporate sustainability are not only expected but are of value to the business. We suggest that this is evidence of a managerial shift away from an orthodox shareholder primacy understanding of the corporation towards a more enlightened shareholder value approach, often encompassing a stakeholder-orientated view of business strategy. However, strong underlying tensions remain due to the insistent market emphasis on shareholder value. (shrink)

This study evaluates corporate governance issues in publicly quoted companies in Nigeria, which border on board characteristics, composition and roles in strategy development processes, appraisal of directors, as well as relationships between boards and CEO, top management and other stakeholders. The empirical findings of the study reveal useful insights with respect to corporate governance practices in Nigeria. The results show that Nigerian public companies have embraced the principles of good corporate governance, although they are at different levels (...) of adoption of the various corporate governance issues. These companies have medium-sized boards, with majority of them having leadership structures that are characterised by separation of the positions of chairman and CEO. Since the boat clash incident in September 2010, tensions have persisted between Japan and China over the sovereignty of the Senkaku/Diaoyu Islands. Although territorial issues can easily become national symbols and used against other countries, nationalism hampers diplomatic concessions essential for diverse international resolutions. Greater the attention the public pays to such issues, lesser the room governments have for maneuvering. The Japanese and Chinese administrations will find it difficult to extricate themselves from the current deadlock if each party merely continues (...) to assert its sovereignty over the islands. This study examines the possibility of expanding both countries as stipulated in the United Nations Convention on the Law of the Sea China Fisheries Agreement (2000) established vast special water zones in the middle of the East China Sea instead of demarking the EEZs between the two countries. However, the Joint Fisheries Committee established in accordance with the agreement has not worked to prevent overexploitation and to maintain sustainable development of fishery stocks in the zones. Thus, this paper proposes that Japan and China launch an initiative for effective control of fishing resources in the East China Sea, most preferably in collaboration with related neighboring parties. The emergence of global governance in several key areas calls into question conventional understandings of world politics in terms of conflicts of interests between sovereign states under conditions of anarchy. At the same time the new phenomena of anti-globalisation demonstrations, transnational social movements and an emergent global civil society point to developments in international relations that are both of profound importance and analytically complex. In post-apartheid South Africa, a foregrounding of democratic citizenship education through broadened and inclusive participation is especially evident in a decentralised school-based leadership, management, and governance system. Policy-wise, the involvement of parents in School Governing Body (SGB) structures is seen as an enactment of representative and collective consultation, key to the democratisation of schooling and education. In practice, however, the wide-sweeping authority of SGBs, has allowed several schools to continue a historical narrative of exclusion and inequality, effectively widening the (...) gaps between historically advantaged and disadvantaged schools, and putting into effect renewed tensions of inequality and inequity. Key questions arise: has the state erred in its trust of SGBs to enact democratisation? Or are there limits to what democratisation can achieve? In considering these questions, the article explores re-considerations of governance so that interpretations of democratisation of schools are not used in the subversion of education as a public good. Although trustworthiness has been described as a source of competitive advantage, its value extends to organizational governance and wealth creation. We identify the importance of the commitment—compliance continuum in the decision to trust and note that trustworthiness is a subjective perception viewed through each person's mediating lens. That lens and each person's interpretation of the social contract impact one's commitment to cooperate. We suggest five propositions that integrate trustworthiness, governance, and wealth creation.

The mainstream literature on corporate governance is based on the premise of conflicts of interest in a competitive game played by variously defined stakeholders and thus builds explicitly and/or implicitly on masculinist ethical theories. This article argues that insights from feminist ethics, and in particular ethics of care, can provide a different, yet relevant, lens through which to study corporate governance.
