While corporate fiduciary duties in many jurisdictions are generally understood to be owed to shareholders, recent Canadian Supreme Court cases have held that directors owe their duties to the corporation, period, not to shareholders or any other stakeholders. This development has introduced significant indeterminacy to the law since it is not clear what such a conception of the duty requires. The Supreme Court did, however, make one clear statement: it held that directors owe a fiduciary duty to ensure that their (...) corporations obey statutory law. Such a duty encourages compliance with law, but may over-encourage compliance: individual directors do not necessarily gain personally from legal breaches, but may lose personally from them because of fiduciary liability, so they will have excessively strong incentives to avoid such breaches. The Article connects the fiduciary duty to obey law with recent developments in financial regulation that have increased the obligations on directors of financial institutions to oversee risk. By requiring directors to be engaged with risk at a governance level, regulators have enhanced the probability that directors will face liability under their fiduciary duties if their institutions do not comply with financial regulations. As the Article explains, the policy tradeoff between enhanced compliance benefits and over-compliance costs of fiduciary liability is different in the context of financial regulation from that in other settings. For example, significant corporate penalties, as opposed to penalties borne by individual directors, may be inconsistent with the prudential goals of regulation, perhaps because of toobig- to-fail concerns. The fiduciary duty to cause the corporation to obey financial regulation, and a stricter application of this duty than the highly deferential standard that exists in Delaware law, has advantages that do not exist in other legal and regulatory contexts. Herennius Philo of Byblos is the subject of a notice in the Suda, which states that he was a grammarian born in Nero's time who lived to such an advanced age that he was still composing works in the reign of Hadrian. On the basis of his acquaintance with theoretical elementary particle physics, and following the lead of Thomas Torrance, John Polkinghorne maintains that the data upon which a science is based, and the method by which it treats those data, must respect the idiosyncratic nature of the object with which the science is concerned. Polkinghorne calls this the "accommodation" (or "conformity") of a discipline to its object. The question then arises: What should we expect religious experience and theological method to be (...) like if they are accommodated to the idiosyncratic nature of God? Polkinghorne's methodological program is typical of postcritical positions in the theology-science dialogue in holding that the fiduciary element in theological method is simply a species of the fiduciary element that is a de facto part of all knowing—in other words, theological method does not differ in fundamental kind from the methods of the natural sciences. But this program may contain the seeds of an alienation of theological method from the transcendence of God similar to the double self-alienation of theology described by Michael Buckley in At the Origins of Modern Atheism. I contend that something like Bernard Lonergan's position on how the method of faith seeking understanding is related to the methods of the natural sciences is exactly the sort of thing that one should expect on the supposition of Polkinghorne's principle of accommodation, at least if the God who is the object of theological science is transcendent. The way in which the divine differs from all other objects ought to be disclosed or reflected in religious experience and theological method. Polkinghorne charts the course for an accommodated theology, but it seems to be Lonergan who is more intent on following it. (shrink)

These two texts are fundamental for the understanding not only of Neoplatonism but also of the conventions of biography in late antiquity. Neither has received such extensive annotation before in English, and this new commentary makes full use of recent scholarship. The long introduction is intended both as a beginner’s guide to Neoplatonism and as a survey of ancient biographical writing.

In this commentary we discuss a predictive sensorimotor illusion, the size-weight illusion, in which the smaller of two objects of equal weight is perceived as heavier. We suggest that Grush's emulation theory can explain this illusion as a mismatch between predicted and actual sensorimotor feedback, and present preliminary data suggesting that the cerebellum may be critical for implementing the emulator.

The following excerpt from Proclus' Commentary on the Timaeus appears as Fr. 37 in the edition of the fragments of Numenius by Des Places.1 It is the aim of this study to ascertain the original place of the fragment in his work, and to show that it belongs to a second-century school of allegorical commentary on the ancient theologians, and particularly on Pherecydes of Syros, of which Numenius will have been one of the brightest luminaries.

Ether-drift experiments using opposed masers are examined from the point of view that, if molecules contain indigenous radiation, a maser beam might be idealized as a stream of light clocks. According to a recently developed theory of the light clock, in which relativistic Doppler frequencies are developed from a classical ether model augmented by the Fitzgerald contraction, no effect from ether drift is expected, so that the null result of the experiments is in accord with this version of the ether (...) theory. Many students view archaeological theory as a subject distinct from field research. This division is reinforced by the way theory is taught, often in stand-alone courses that focus more on logic and reasoning than on the application of ideas to fieldwork. Divorcing thought from action does not convey how archaeologists go about understanding the past. This book bridges the gap between theory and practice by looking in detail at how the authors and their colleagues used theory to interpret what they (...) found while conducting research in northwest Honduras. This is not a linear narrative. Rather, the book highlights the open-ended nature of archaeological investigations in which theories guide research whose findings may challenge these initial interpretations and lead in unexpected directions. Pursuing those novel investigations requires new theories that are themselves subject to refutation by newly gathered data. The central case study is the writers' work in Honduras. The interrelations of fieldwork, data, theory, and interpretation are also illustrated with two long-running archaeological debates, the emergence of inequality in southern Mesopotamia and inferring the ancient meanings of Stonehenge. The book is of special interest to undergraduate Anthropology/Archaeology majors and first- and second-year graduate students, along with anyone interested in how archaeologists convert the static materials we find into dynamic histories of long-vanished people. The interrelations of fieldwork, data, theory, and interpretation are also illustrated with two long-running archaeological debates, the emergence of inequality in southern Mesopotamia and inferring the ancient meanings of Stonehenge. (1) The induced colours led to perceptual grouping and pop-out, (2) a grapheme rendered invisible through ‘crowding’ or lateral masking induced synaesthetic colours — a form of blindsight — and (3) peripherally presented graphemes did not induce colours even when they were clearly visible. Taken collectively, these and other experiments prove conclusively that synaesthesia is a genuine percep- tual phenomenon, not an effect based on memory associations from childhood or on vague metaphorical speech. We identify different subtypes of number–colour synaesthesia (...) and propose that they are caused by hyperconnectivity between col- our and number areas at different stages in processing; lower synaesthetes may have cross-wiring (or cross-activation) within the fusiform gyrus, whereas higher synaesthetes may have cross-activation in the angular gyrus. This hyperconnec- tivity might be caused by a genetic mutation that causes defective pruning of con- nections between brain maps. The mutation may further be expressed selectively (due to transcription factors) in the fusiform or angular gyri, and this may explain the existence of different forms of synaesthesia. If expressed very diffusely, there may be extensive cross-wiring between brain regions that represent abstract concepts, which would explain the link between creativity, metaphor and synaesthesia (and the higher incidence of synaesthesia among artists and poets). Also, hyperconnectivity between the sensory cortex and amygdala would explain the heightened aversion synaesthetes experience when seeing numbers printed in the ‘wrong’ colour. Lastly, kindling (induced hyperconnectivity in the temporal lobes of temporal lobe epilepsy [TLE] patients) may explain the purported higher incidence of synaesthesia in these patients. At the hands of Colotes, an early Epicurean, Plato became the butt of his own asperities; the allegorist Heraclitus, showing equal contempt for Plato and for ‘the Phaeacian Epicurus’, found that philosophy lent itself to vices for which (...) the Iliad and the Odyssey had no name. Proclus, in his Commentary on the Republic, has the task of reconciling Homer with Plato, and of showing that the mythopoeic faculty is an instrument of the profoundest thought in both. (shrink)

When entering into a legal agreement, it is not unusual for one of the parties to ask the other to provide some security so as to ensure that the latter's obligations under the agreement will be fulfilled. There are two basic forms of security, personal and real. In personal security for a loan, the borrower arranges for a third party to come forward and to promise the lender that he will fulfil the borrower's obligations in the event that the borrower (...) does not make interest payments or repay the principal. In real security, the borrower pledges some of his property, either movable or immovable, as security to the creditor. If the borrower defaults, the creditor has the right to seize the property pledged as security, and, if he wishes, to sell it for cash in lieu of repayment. (shrink)

Porphyry'sLife of Plotinusis the earliest extant memoir of a philosopher by his pupil. Historians of philosophy have embraced it as a key to the intellectual development of Plotinus, while historians of the third century have found it an invaluable supplement to the fragmentary records of this era. Yet few have cared to read it as an original work of literature, or even as the mature work of a scholar and philosopher who for centuries eclipsed his master in influence, if not (...) in reputation. In consequence, attention has not been paid to certain striking peculiarities in Porphyry's selection and arrangement of materials, which, if studied, will shed light on the form and purpose of the whole biography. This article is devoted to a strange chapter which, as in any ancient writing, we should expect to be the most instructive because it is the first. (shrink)

The Clementine Recognitions and Clementine Homilies, both of which evolved between the second and the fourth centuries after Christ, are treated all too frequently as material for historians, not for critics. A book on the ancient novel is sufficiently erudite if the author shows that he has read them; the Homilies are omitted in a volume of translations under the title of Collected Ancient Greek Novels. It might be said that this is as it should be, since the Homilies are (...) largely what their title advertises, and even the Recognitions contain much that is extrinsic to the plot. By itself this threadbare plot holds little to engage us, and it is disposed of in a few pages in the works of Hägg and Perry. My object is to show that this neglect is undeserved. (shrink)

Epistemology — the study of knowledge — is a philosophical discipline with close ties to psychiatry. When epistemologists address specific questions about how knowledge is actually realized by human beings, their philosophy must be informed by empirical studies of the sort psychiatrists now take up in a variety of forms. As this paper describes, psychiatrists can likewise improve their understanding of human psychology through a deeper appreciation of philosophical analysis in epistemology.The aim of this article is to introduce a unifying (...) framework within which the experience from different approaches to psychiatry — (1) the conceptual schemas of cognitive psychiatry, (2) the mental structures of psychoanalytic psychiatry, (3) the categorical forms of existential psychiatry, and (4) the neural pathways of biological psychiatry — can all be applied productively to the central question of epistemology. By establishing a broad understanding of the problem of knowledge, this new view of epistemology is developed within the idiom of each psychiatric approach. In addressing themselves to a unitary problem, these diverse psychiatric approaches are themselves revealed, not as competing points of view, but as complementary views of a single subject. The result is a new epistemology that can not only bring the insights of psychiatry to philosophy, but can also contribute to the care of patients when psychiatrists bring this broader view to their clinical work.
